TERMS AND CONDITIONS FOR VIRGIN MOBILE FREE I.P. FREE FEST 2011 OFFER

Virgin Mobile USA, L.P. (“Sponsor”) will offer multiple volunteer service opportunities in various markets (each, a “Market”) that will each be assigned a specific number of points. Points can be redeemed for one (1) ticket to the Virgin Mobile FreeFest concert event on September 10, 2011 at the Merriweather Post Pavilion in Columbia MD (the “Reward”). Reward specifics can be found at www.virginmobilefreeip.com (“Site”). Reward supply is limited and not everyone who earns points may receive a Reward. The participants who first visit the Site to redeem their points for a Reward will receive the Reward, until supplies are exhausted. Refer to Site for full details of service and Reward opportunities.

Open only to legal residents of the United States residing within one hundred (100) miles of each service opportunity who are 16 years of age or older. Employees of Virgin Mobile USA, L.P. (“Sponsor”), Trymark Consulting Group, L.L.C. and their respective parents, affiliates, subsidiaries, advertising and promotion agencies, retailers, distributors and suppliers, and the immediate families (spouse, parents, children and siblings and their respective spouses, regardless of where they reside) and individuals living in the same households of any of the foregoing individuals, whether or not related, are ineligible to participate or receive any Rewards. Eligible minors must obtain their parents’ or legal guardians’ permission prior to participating in a service opportunity. Volunteers who are eligible minors must submit a signed Parental Consent Form, available at www.virginmobilefreeip.com, before participating in a service opportunity. Void outside the one hundred (100)-mile radius of each service opportunity and where prohibited by law.

To participate in the offer between July 21, 2011 and August 28, 2011, create an account at
http://www.virginmobilefreeip.com and select from the available service opportunities. Types of service opportunities, time periods during which service opportunities will be available, exact number of points associated with each service opportunity, and other details relating to service opportunities can be found on the Site and are to be determined by each charitable partner. You may only volunteer in one (1) service opportunity. Certain charitable partner restrictions and/or qualifications may apply. Please visit the Site for more details.

Each service opportunity listed on the Site will also state the number of points available for that service opportunity. During the sign-up process, you must provide your first and last name, date of birth, complete mailing address, e-mail address and phone number (including area code). Once the registration is approved, participants will receive an e-mail containing a link to access his/her account. Creating an account is free. Participants may select from the available service opportunities presented on the Site and must earn the minimum number of points required to be eligible to redeem points for Rewards. Sponsor does not guarantee the opportunity to participate in any service opportunity or the availability of any Reward at the time of redemption. Volunteers will be able to sign up for volunteer opportunities on a first-come, first-served basis. If there are more volunteers for any service opportunity than the number permitted by the charitable partner, Sponsor shall endeavor to post a service notice for that volunteer project on the Site landing page, stating that the applicable service opportunity is closed.
When a volunteer completes his/her service opportunity, he/she will be given a verification code and a keyword by the charitable partner administrator. In order to receive credit for service and for points to be awarded, a volunteer must confirm their participation by either: (a) texting the verification code and a keyword to the SMS short code 88147. After the verification code and keyword is texted to the short code 88147, such volunteer will receive a reply confirming receipt. Or (b) Logging in to www.virginmobilefreeip.com and entering the verification code and a keyword on the Dashboard page. Volunteers must submit the verification code and a keyword within 2 days of completing the service opportunity. Failure to take all required actions will result in no points being credited. The crediting of points and verification of completion of volunteer work is subject to the approval of the charitable partner providing the service opportunity. Charitable partner is responsible for providing verification code/keyword and crediting points, and any questions regarding the delivery of such verification codes/keywords and/or the crediting of points should be directed to such charitable partner. Allow 1-4 days for verification codes and volunteer work to be processed and points to be posted on your account. Volunteers can check their point balance by logging in to www.virginmobilefreeip.com. Points have no cash value. Points must be used by September 1, 2011. Any unused points will expire at 11:59PM ET on September 1, 2011. Points generated by script, macro or other automated means and points earned by any means which subvert the participation process will be void.
An authorized representative from the applicable charitable partner will track the volunteer work of each participant. Submission of erroneous or incomplete information will result in disqualification from the offer and/or all associated points will be void. Limit one (1) account per person and per e-mail address for the duration of the offer. If multiple accounts are created by any person or e-mail address, only the first such account will be eligible. Participants may only volunteer in one (1) service opportunity, regardless of their geographic eligibility. Except as otherwise provided herein, Sponsor will not enter into any correspondence with a participant regarding an account. Sponsor reserves the right in its sole discretion to disqualify any participant that does not comply with these requirements or these terms and void his/her points.

Points can be redeemed for Rewards during the redemption period listed on the Site. Eligible participants can only redeem their points for a Reward to the extent that they have earned the required number of points for that Reward and while supplies last. Participants are not entitled to compensation from Sponsor or from any other entity if their points are forfeited or unused for any reason. Rewards will be available on a first come, first serve basis. To view the number of points required to be eligible to redeem a Reward, visit the Site. A service notice will be posted once supplies of a Reward are exhausted for any service opportunity. Limit one (1) Reward per person, regardless of whether there are remaining points in excess of those required to redeem the Reward. Potential recipients will be notified via email: (i) when the redemption process begins; and (ii) when their Reward has successfully been redeemed. Redemption requests cannot be altered or cancelled. Potential recipients who are eligible minors must submit a signed parental consent form (provided by Sponsor) before Reward will be provided. Rewards are subject to terms and conditions specified by issuer on the Site. If Reward is an event ticket:

a) Ticket must be picked up at the Will Call window at the event location, at times and dates specified by Sponsor. Complete details regarding ticket pick up will be provided in the confirmation email sent to each eligible ticket recipient.

b) Recipients must comply with all applicable venue rules and regulations. Sponsor reserves the right to remove or to deny entry to any recipient who engages in disruptive manner, or acts with intent to annoy, abuse, threaten or harass any other person at the venue.

c) Recipients will be responsible for transportation to and from the event. If, for whatever reason, the event is cancelled, no compensation or substitution will be provided.

Rewards are not transferable, redeemable for cash, or substitutable by recipient. Sponsor reserves the right, at its discretion to substitute Rewards at its discretion. Rewards are provided “as is” with no warranty or guarantee, either express or implied by Sponsor. By participating, participants (and, if eligible minors, their parents or legal guardians) agree as follows: a) to abide by these Terms and Conditions, and to the decisions of Sponsor, which shall be final and binding in all respects; b) to the use of their names and/or likenesses and/or biographical data by Sponsor and its designees, if a Reward recipient, for advertising, promotional and other purposes in any or all media now or hereafter known throughout the world in perpetuity without compensation, permission or notification (except where prohibited by law); and c) THAT SPONSOR, TRYMARK CONSULTING GROUP, L.L.C., AND THEIR RESPECTIVE PARENTS, AFFILIATES, SUBSIDIARIES, ADVERTISING AND PROMOTION AGENCIES, RETAILERS, DISTRIBUTORS AND SUPPLIERS, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, AND EMPLOYEES (COLLECTIVELY, THE “RELEASED PARTIES”) SHALL HAVE NO LIABILITY AND SHALL BE HELD HARMLESS FOR ANY DAMAGE, LOSS OR INJURY TO AN REGISTRANT OR ANY THIRD PARTY RESULTING FROM PARTICIPATION IN THIS OFFER OR THE USE OR MISUSE OF ANY REWARD (INCLUDING ANY TRAVEL OR ACTIVITY RELATED THERETO). Released Parties are not responsible for Rewards, points, data or mail that is lost, late, stolen, inaccurate, incomplete, delayed, misdirected, undelivered, garbled, delayed by computer transmissions, damaged, or postage-due, or for errors or malfunctions of any kind whether computer, network, human, mechanical, electronic, printing, typographical or otherwise relating to or in connection with this offer, including, without limitation, errors or problems which may occur in connection with the administration of offer, the processing of data, points and/or text messages, the tabulation and/or crediting of points, the notification and/or selection of alternates, confirmation, verification or review of service completion (including, without limitation, any errors in connection with the texting of verification codes, the receipt and/or input of verification codes on the Site, and/or the failure of Sponsor and/or charitable partner to acknowledge receipt of a request for a verification code for any reason), or in any offer-related materials. Released Parties are also not responsible for lost, interrupted or unavailable network, server, Internet Service Provider, website, wireless service, cellular tower, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or other errors of any kind. Sponsor reserves the right to terminate the offer at any time. In the event the offer (or portion thereof) is compromised by virus, bugs, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play of the offer, Sponsor reserves the right in its sole discretion to modify, suspend or terminate the offer (or portion thereof) and void any and all point totals at time of suspension or termination. Information submitted in connection with the offer will be treated in accordance with these Terms and Conditions and Sponsor's Privacy Policy (as may be amended from time to time), currently located at http://www.virginmobileusa.com/legal/privacy-policy; provided, that in the event of any conflict between these Terms and Conditions and such Privacy Policy, these Terms and Conditions shall prevail.
